Terms and Conditions
General
These Terms and Conditions (the "Vendor Agreement") govern the Vendor Program that is made available by Medlabs Pharmaceuticals (" Medlabs Pharmaceuticals,“Medlabs”, "we" or "us"). These Terms and Conditions represent the whole agreement and understanding between Medlabs and the individual or entity who participates in the Vendor Program (the "Vendor" or "you").
Please read this agreement careful as it represents a legally binding agreement between you and Medlabs. By submitting your application and by your use of the Vendor Program, you agree to comply with all of the terms and conditions set out in this Agreement. Medlabs may terminate your Account at any time, with or without notice, for conduct that is in breach of this Agreement, for conduct that Medlabs believes is harmful to its business, or for conduct where the use of the Program is harmful to any other party.
Medlabs does not support the repackaging of any products into items such as gift baskets, package deals or any other similar means. Any Vendor found to be purchasing and repacking any product to on sell as part of any other form of packaging will be terminated from the Program immediately and without notice.
Vendors and Tracking
Medlabs will provide the Vendor with vendors that may be used and displayed by you for the purpose of selling Medlabs products. Medlabs reserves the right to track users and Vendors who use and or sign up to the program.
The Vendor is not authorized to modify or alter the vendors in any way. Medlabs will not responsible for any tracking, delivery or reporting errors that may result from any modifications to vendors or individual products.
Vendors are supplied to the Vendor for the Vendors use only. Vendors cannot be transferred to other users. Any Vendor found to have transferred copies of any vendors will be terminated from the Program immediately and without notice.
Payments
Medlabs will not be held liable for failed payments due to faults with any 3rd party vendor system.
Advertisements
Medlabs hereby grants the Vendor a non-exclusive, non-transferable, limited license to use the Medlabs logos for the sole purpose of promoting Medlabs products and the Vendors business within the context of the Program. This license will expire upon termination of the Vendors participation in the Program. Copies of logos available on request.
The Vendor may only display advertisements that contain Medlabs logos or service marks in good taste. The Vendor may not use Medlabs logos or service marks in a manner that, in Medlabs sole discretion, portrays Medlabs in negative light or to deceive.
The Vendor will be solely responsible for its own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.
Medlabs may, without prior notice, require the Vendor to remove or modify any advertisements at Medlabs sole discretion.
Termination
Medlabs reserves the right to terminate the Vendors participation in the Program at any time for conduct that is in material breach of this Agreement or for conduct that Medlabs, in its sole discretion, deems to be harmful to its business or any third party.
Upon termination, the Vendor will lose access to the program including vendors and will forfeit any unused credit remaining on any Medlabs card systems.
Any attempt to unlawfully tamper, copy, deconstruct any of the Medlabs products and or use the Medlabs name or branding will result in immediate termination of this agreement and may result in DMCA action being taken against you if attempts are made to use any copyrighted aspect of Medlabs products.
The on selling or providing of Medlabs products to banned users and or attempts by banned users under alternate accounts (Alt accounts) to use the Medlabs vendors will result in immediate termination.
Relationship of Parties
Medlabs and the Vendor are independent contractors. Nothing in this Agreement will create any partnership, employment, representative, agency, or joint venture relationship between the parties. The Vendor has no authority to act on Medlabs behalf.
Limitation of Liability
The Program is provided on an "as is" and "as available" basis and the use of the Program is at the Vendors own risk. Medlabs makes no representations or warranties, either expressed or implied, with respect to the Program, or any service or information provided through the Program.
Medlabs is not responsible for any damages, injury or economic loss arising from the use of Program. Should any part of the Program cause damage or inconvenience to the Vendor or anyone claiming through the Vendor the Vendor assumes responsibility and the entire cost for them.
The Vendor will indemnify and hold harmless Medlabs its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Vendor or any third party's operations or use of the Program.
Modification
Medlabs may, in its sole discretion, change or modify this Agreement at any time, with or without notice. Such changes or modifications shall be made effective for all upon posting of the modified Agreement on the Medlabs website. The Vendor is responsible for reading this document to ensure that its use of the Program remains in compliance with this Agreement.
If any modification is unacceptable to the Vendor , its sole recourse shall be to terminate this Agreement. The continued participation in the Program will constitute binding acceptance of such modifications.
Miscellaneous
The Vendor warrants and represents that its actions and its participation in the Program is in compliance with all applicable laws, rules, regulations, and any requirements of governmental authority at all times. Medlabs reserves the right to terminate the participation in the Program if Medlabs determines, in its sole discretion, that the actions or its participation in the Program is in violation of any laws, rules, regulations, or any requirements of governmental authority.
This Agreement constitutes the entire understanding between Medlabs and the Vendor This Agreement supersedes any other contracts or understandings between the parties hereto and neither party shall be bound by any statements or representations that are not embodied in this Agreement.
